Terms & Conditions of Service – Bright Tech Solutions LLC

  1. Precedence of Terms - The client expressly waives the application of its own standard terms and conditions, regardless of whether they are issued after these Terms & Conditions.  Any deviation from these terms shall be valid only if expressly agreed to in writing by Bright Tech Solutions LLC prior to engagement.
  2. Payment Terms - Invoices are payable within twenty-one (21) business days from the invoice date, unless a different payment term is specified on the invoice or purchase order. In the event of late payment, Bright Tech Solutions LLC reserves the right to apply a fixed interest charge of five percent (5%) on the outstanding balance. Service provision may be suspended without prior notice in the event of delayed payment.
  3. Debt Recovery - If payment remains outstanding more than sixty (60) calendar days after the due date, Bright Tech Solutions LLC reserves the right to engage a third-party debt recovery service. All associated legal and collection costs shall be borne by the client.
  4. Withholding Taxes - In jurisdictions where withholding taxes apply, the client shall be solely responsible for remitting such taxes to the appropriate authorities. Bright Tech Solutions LLC shall not be liable for any costs, deductions, or obligations arising from the client’s local tax legislation. The full invoiced amount remains payable to Bright Tech Solutions LLC, exclusive of any local tax-related deductions.
  5. Service Commitment - Bright Tech Solutions LLC commits to delivering high-quality services within the agreed timeframes. However, all obligations are best-effort and shall not be construed as guarantees of specific outcomes. Under no circumstances shall Bright Tech Solutions LLC be compelled to participate as a third party in any legal claim initiated by an end consumer against the client.
  6. Claims and Notifications - To be considered valid, any claim must be submitted in writing via certified mail to Bright Tech Solutions LLC’s registered office within eight (8) calendar days following the delivery of goods or completion of services.
  7. Governing Law - All contractual relationships shall be governed exclusively by the laws of the Commonwealth of Puerto Rico. Jurisdictional disputes shall be resolved in accordance with applicable federal and state legal frameworks.
